1. Purpose

This document provides transparency regarding the structure of the NautilusTrader project and the roles of related entities. It is informational in nature and should be read together with the other published legal documents.

2. The NautilusTrader Project

NautilusTrader™ is open-source algorithmic trading software made available by Nautech Systems Pty Ltd (“Nautech Systems”). It is software only and does not operate as a broker, dealer, exchange, trading venue, market, wagering service, custodial service, or financial intermediary.

3. Related Entities

Nautech Systems is separate from other entities that may operate under the “Nautilus” name or branding. Nautilus Trading Group Ltd (“NTG”) is a distinct legal entity with separate ownership, governance, and operations.

NTG is a commercial entity that enters into integration, partnership, and other commercial arrangements with exchanges, venues, data providers, or counterparties. NTG does not trade on behalf of users, manage client accounts, provide investment advice, hold client funds, or act as a broker, dealer, exchange, or intermediary in connection with NautilusTrader.

NTG’s commercial arrangements are entered into for its own account. Users independently establish and maintain their own contractual relationships with exchanges or venues. Any attribution, tagging, or related commercial arrangements do not create an agency, brokerage, custodial, or intermediary relationship between NTG and NautilusTrader users.

4. Use of NautilusTrader by Related Entities

Related entities, including NTG, may use NautilusTrader under the same open-source licensing terms that apply to all users. Any configuration, attribution, or tagging implemented within NautilusTrader reflects how the software is deployed or operated by its users or maintainers and does not confer preferential access to, control over, or special rights within the software itself.

Any such logic is visible in the public codebase and may be modified or removed by downstream users in accordance with the open-source license. Such use does not alter the open-source nature of the project or the licensing terms under which the software is made available.

5. Commercial Partnerships

Nautech Systems and related entities may maintain commercial partnerships with exchanges, venues, data providers, or technology partners. These partnerships may involve integration support, referral arrangements, or revenue-sharing. Such arrangements do not create any joint venture, agency, or fiduciary relationship between Nautech Systems and its partners. Users interact with partner services directly and are subject to those partners’ own terms and conditions.

6. Consulting and Engineering Services

Nautech Systems may provide consulting, integration, or engineering services to external parties. Such engagements are governed by separate client agreements and are not covered by these disclosures or the other documents published on this website.

7. Third-Party Products and Ownership Changes

Third-party products built using NautilusTrader may change ownership or control over time. Such changes do not imply any relationship with, endorsement by, or ongoing association with Nautech Systems.

8. Changes

These disclosures may be updated from time to time. Updated versions will be published on the NautilusTrader website.
